These Terms and Conditions (“Terms,” “Agreement”) constitute a legally binding agreement between you (“Client,” “User,” or “You”) and Valley Multimedia (“Valley Multimedia,” “Company,” “We,” “Us,” or “Our”), governing your access to and use of the website located at https://valleymultimedia.com (the “Website”) and any services provided therein or in connection therewith, including but not limited to website design and development, web hosting, video-on-demand (VOD) streaming, and related digital services (collectively, the “Services”).

By accessing the Website or utilizing any of the Services, You acknowledge that You have read, understood, and agree to be bound by these Terms. If You do not agree to these Terms, You must immediately discontinue use of the Website and Services.

1. Scope of Services

Valley Multimedia provides professional digital media and technology services, which may include, without limitation:

  • Website design, development, and maintenance

  • Web hosting and server-related services

  • Video-on-demand (VOD) streaming, content delivery, and media hosting

  • Consulting, technical support, and ancillary services

The specific scope, pricing, and deliverables for any Service may be governed by a separate written agreement, proposal, or service order. In the event of a conflict between these Terms and any such agreement, the terms of the written agreement shall prevail.

2. Eligibility and Authority

By using the Website or Services, You represent and warrant that:

  • You are at least eighteen (18) years of age or otherwise legally capable of entering into a binding contract

  • You have the authority to enter into this Agreement on behalf of yourself or any entity You represent

  • Your use of the Services does not violate any applicable laws or regulations

3. User Accounts and Security

Certain Services may require the creation of an account. You agree to:

  • Maintain the confidentiality of all login credentials

  • Be fully responsible for all activities conducted under Your account

Valley Multimedia shall not be liable for any loss or damage arising from unauthorized access to Your account resulting from Your failure to safeguard login credentials.

4. Client Content and Responsibilities

You retain all ownership rights to content, data, and materials You provide or upload (“Client Content”). By submitting Client Content, You represent and warrant that:

  • You own or have all necessary rights, licenses, and permissions to use such content

  • The Client Content does not infringe upon intellectual property, privacy, or publicity rights of any third party

  • The Client Content complies with all applicable laws and regulations

You grant Valley Multimedia a limited, non-exclusive, royalty-free license to use, host, reproduce, and transmit Client Content solely as necessary to perform the Services.

5. Acceptable Use and Prohibited Conduct

You agree not to use the Website or Services to:

  • Engage in unlawful, fraudulent, or deceptive activities

  • Transmit or store malicious software, viruses, or harmful code

  • Host, stream, or distribute content that is illegal, defamatory, obscene, or infringing

  • Interfere with or disrupt the integrity, security, or performance of the Services

  • Attempt to gain unauthorized access to systems or data

Valley Multimedia reserves the right, in its sole discretion, to suspend or terminate Services for violations of this section.

6. Fees, Payments, and Billing

Certain Services are provided for a fee. You agree to:

  • Pay all fees as disclosed at the time of purchase or as set forth in a written agreement

  • Provide accurate and up-to-date billing information

  • Authorize recurring charges for subscription-based Services, where applicable

All payments are non-refundable unless expressly stated otherwise in writing. Valley Multimedia reserves the right to modify pricing upon reasonable notice.

7. Hosting and Streaming Services Disclaimer

While Valley Multimedia endeavors to provide reliable hosting and VOD streaming services, You acknowledge and agree that:

  • Continuous, uninterrupted, or error-free service is not guaranteed

  • Temporary service interruptions may occur due to maintenance, upgrades, or events beyond Our control

  • Streaming quality may be affected by factors outside Our control, including network conditions and third-party infrastructure

Valley Multimedia shall not be liable for data loss, service downtime, or performance degradation except as required by applicable law.

8. Intellectual Property Rights

All content, software, trademarks, logos, and materials displayed on the Website are the exclusive property of Valley Multimedia or its licensors and are protected by applicable intellectual property laws.

Unless otherwise agreed in writing:

  • Valley Multimedia retains ownership of all proprietary tools, code libraries, methodologies, and processes

  • Upon full payment, Clients receive rights to final deliverables as specified in the applicable service agreement

No license is granted except as expressly set forth herein.

9. Third-Party Services and Dependencies

The Services may incorporate or rely upon third-party platforms, software, or service providers. Valley Multimedia does not control and is not responsible for:

  • The availability, functionality, or security of third-party services

  • Acts, omissions, or policies of third-party providers

Your use of third-party services is governed by their respective terms and conditions.

10. Limitation of Liability

To the maximum extent permitted by law, Valley Multimedia shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of revenue, profits, data, or business opportunities, arising out of or related to Your use of the Website or Services.

In no event shall Valley Multimedia’s total aggregate liability exceed the amount paid by You to Valley Multimedia for the Services giving rise to the claim during the six (6) months preceding the claim.

11. Indemnification

You agree to defend, indemnify, and hold harmless Valley Multimedia and its officers, directors, employees, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your use or misuse of the Services

  • Client Content provided by You

  • Your violation of these Terms or applicable law

12. Termination and Suspension

Valley Multimedia reserves the right to suspend or terminate Your access to the Website or Services at any time, with or without notice, for violation of these Terms or for operational reasons.

Upon termination:

  • All outstanding fees shall immediately become due

  • Hosted content may be deleted without liability

  • Provisions which by their nature should survive termination shall remain in effect

13. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Valley Multimedia is headquartered, without regard to its conflict of law principles. You consent to the exclusive jurisdiction of courts located in such jurisdiction.

14. Amendments

Valley Multimedia reserves the right to modify these Terms at any time. Updated Terms will be posted on the Website, and continued use of the Services constitutes acceptance of such modifications.
